Hexo Corp. has announced a “board refresh,” entering into a transition agreement with investor Adam Arviv.
Arviv is a major investor in Hexo, serving as chief executive of Kaos Capital.
The new board has been reduced to seven members, all of whom are independent: Mark Attanasio (chair), Rose Marie Gage (vice-chair and chair of the ESG Committee), Vincent Chiara, Helene F. Fortin (chair of the Audit Committee), Rob Godfrey, Peter Montour and William Montour.
Arviv retains the right to nominate an eighth member, following an upcoming shareholders’ meeting on March 8. The two candidates for the nomination are Mark Attanasio, director of Nocera Investment Corp., and Rob Godfrey, president of Brown Lab Industries Inc.
“HEXO has built a reputation as a leader in the cannabis sector and will continue to pave the way as the industry evolves,” said Scott Cooper, CEO of HEXO. “I look forward to working with the refreshed board as we build the company’s next chapter and deliver on the Path Forward.”
As part of the changes today, John Bell has also stepped down as chair of the board of directors, effective immediately.
